Terms of Service

1. Agreement

By creating an account or using the Memcone API, dashboard, or CLI, you agree to these Terms of Service (“Terms”) with Milkyroad B.V., Amsterdam, Netherlands (KvK 83840559). If you are using Memcone on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The service

Memcone provides a persistent memory API and related tooling that allows developers to store and retrieve context for AI applications. We offer the service on a pay-as-you-go basis after a free trial allowance. Features and pricing may change with notice.

3. Your account

• You must provide accurate registration information and keep it up to date.
• You are responsible for all activity under your account and API keys.
• Keep your API keys confidential. Notify us immediately at legal@memcone.com if you suspect unauthorised access.
• One account per person unless you have an enterprise arrangement with us.

4. Acceptable use

You may not use Memcone to:

• Store or transmit illegal content, including content that violates privacy laws or third-party intellectual property rights.
• Attempt to circumvent rate limits, quotas, or access controls.
• Resell or sublicense API access without our written consent.
• Conduct security attacks or denial-of-service attacks against Memcone or third parties.
• Use the service to train competing AI models without explicit written permission.

We may suspend or terminate accounts that violate these rules without notice.

5. Billing and payment

• New accounts receive a one-time trial of 200 compute units at no charge.
• Beyond the trial, usage is billed at $0.80 per 1,000 compute units via Stripe.
• Usage is measured as described in the usage reference.
• All fees are non-refundable except where required by law or at our sole discretion.
• We may update pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.
• Unpaid balances may result in service suspension. You remain liable for all charges incurred before suspension.

6. Data ownership

You retain ownership of all memory content you submit to Memcone. You grant us a limited licence to store, process, and return that content solely to operate the service. We do not use your memory content to train models or for any purpose other than serving your API requests.

7. Intellectual property

Memcone, its logo, the API design, and all dashboard software are the property of Milkyroad B.V.. Nothing in these Terms transfers ownership of our intellectual property to you. Our open-source packages (e.g. @memcone/cli) are licensed under their respective open-source licences.

8. Uptime and SLA

We target 99.9% monthly uptime for the API but do not guarantee it outside of a written enterprise SLA. We are not liable for downtime caused by third-party infrastructure, force majeure, or scheduled maintenance (announced with at least 24 hours notice where possible).

9. Limitation of liability

To the maximum extent permitted by law, Milkyroad B.V. is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or data. Our total liability for any claim arising from your use of Memcone is limited to the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

10. Termination

You may close your account at any time from the dashboard. We may suspend or terminate accounts that violate these Terms or that have been inactive for more than 12 months with unpaid balances. On termination, your data is deleted within 30 days per our Privacy Policy.

11. Governing law

These Terms are governed by the laws of the Netherlands. Disputes are subject to the exclusive jurisdiction of the courts of Amsterdam, unless mandatory consumer protection laws in your country provide otherwise.

12. Changes to these Terms

We will notify registered users by email of material changes at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.
